Job Description

We are seeking a highly skilled Corporate Paralegal to provide immediate, hands-on support in a fast-paced practice. This Corporate Paralegal role requires independent management of corporate matters, strong formations experience, and the ability to support transactions from inception through closing. Experience with M&A and finance is strongly preferred.

Corporate Paralegal Duties & Requirements:

  • Handle entity formations and corporate lifecycle matters, including foreign qualifications, conversions, name changes, mergers, acquisitions, and dissolutions.
  • Draft and maintain corporate governance documents, including Board and Stockholder actions, minutes, annual reports, capitalization records, and corporate books.
  • Support corporate transactions, M&A, and financings, including closing checklists, signature packets, closing binders, post-closing deliverables, and equity management (Carta preferred).
  • Prepare and file UCC filings, Blue Sky and SEC-related documents, lien searches, audit letter responses, and assist with due diligence and compliance reviews.
  • Conduct legal research related to Delaware and California corporate law, securities regulations, and corporate compliance requirements.
  • Qualifications: Bachelor's degree required; 2+ years of corporate transactional experience with strong entity formations experience (must-have); M&A and finance exposure a plus.
  • Highly detail-oriented and professional, with excellent written and verbal communication skills and strong proficiency in Microsoft Word, Excel, and Adobe
